ACCEPTANCE OF MEMBERSHIP AGREEMENT
BY SUBSCRIBING WITH HOMES & ZONES, OR BY ACCESSING OUR BUSINESS HUB PLATFORM, PREMIUM SERVICES, OR OTHER INFORMATION PROVIDED AS PART OF THE HOMES & ZONES SERVICES (COLLECTIVELY, THE “SERVICES”), YOU BECOME A “MEMBER” AND AGREE THAT YOU HAVE ENTERED INTO A LEGALLY BINDING AGREEMENT WITH HOMES & ZONES, 825 CHURCH STREET, SUITE 1901, TORONTO, ON, M4W 3Z4 (“WE,” “US,” “OUR,” AND “HOMES & ZONES”), THE TERMS OF WHICH CONSIST OF THIS USER AGREEMENT, THE CODE OF CONDUCT AND OUR PRIVACY POLICY , BOTH OF WHICH ARE HEREBY INCORPORATED BY REFERENCE (COLLECTIVELY REFERRED TO AS THE “AGREEMENT” OR “TERMS OF SERVICE”).

1.    DEFINITIONS 

• Locations: Available Communities in the Homes & Zones referral platform.

• Referrals / Leads: New client Referrals made to the Member from Homes & Zones.

• Business Hub: Online platform for managing your business relationship and accessing referrals and resources.

2.    HOMES & ZONES COMMUNITY
2.1 The Member is granted access for its business category within the Homes & Zones Community, subject to the rates and location information outlined in the Referral Membership Agreement & Order Form.

3.    REFERRAL SOURCES & ADVERTISING
3.1. The Member receives direct referrals from Homes & Zones via the Company's Omnibus Survey program. The Company may also be provided advertising services at no extra cost, strategically promoting the Member's message within its Homes & Zones Community.

4.    COST PER REFERRAL
4.1. The cost per referral, payable at the time of delivery, varies based on the Member's business category and level of participation. Specific cost per referral/lead are set out in the Member's order form.

5.    BUSINESS HUB ACCESS
5.1. Access Provision: The Company shall grant the Member access to the Business Hub located at https://www.homesandzones.com/business-hub

6.    PAYMENT TERMS
6.1. Referral fees, plus applicable taxes, are charged and payable at the time each referral is assigned.

7.    FAIR AND PROFESSIONAL TREATMENT OF REFERRALS
7.1. Member agrees to treat all referrals received through the Homes & Zones Community in a fair, forthright, professional, and workmanlike manner at all times. This commitment extends to ensuring a high standard of service and ethical conduct in interactions with clients referred by  Homes & Zones.

8.    TERM AND TERMINATION
8.1. This Agreement commences on the Effective Date and shall remain in force until terminated by either party with written notice. Termination shall be effective upon notice.

9.    REFUND POLICY

9.1. Please note that all referral fees are non-refundable. Once you subscribe to our service and receive referrals from us, you will have access to our premium features and benefits for the duration of your subscription period. We understand that circumstances may change, but due to the nature of our service, we do not offer refunds. We encourage you to make use of our platform and take advantage of all the resources available to you.

10.    CONFIDENTIALITY
10.1. Both parties agree to maintain confidentiality regarding any proprietary or non-public information exchanged during this Agreement. The Member acknowledges the Company's technology and proprietary data as trade secrets, agreeing not to disclose or use them without written consent. Similarly, the Company agrees to protect the Member's sensitive information.

11.    LIMITATION OF LIABILITY
11.1. Neither party shall be liable for indirect, incidental, or consequential damages. The Company's liability is limited to fees paid for the prior month's referrals.

12.    GRADUAL PROGRESS DISCLAIMER
12.1. Members should expect gradual progress in converting leads and referrals.

13.    GOVERNING LAW AND DISPUTE RESOLUTION
13.1. This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario without regard to its conflict of laws principles.

13.2. Any dispute arising out of or in connection with this Agreement shall be resolved through good-faith negotiations between the parties. If the parties are unable to reach a resolution within 14 days, either party may initiate mediation or arbitration as the exclusive means of resolving the dispute.

14.    NON-DISPARAGEMENT
14.1. Both parties agree not to make disparaging remarks about each other, their products, services, or affiliates, in any form of communication, with exceptions for legal requirements.

15.    REVOCATION & AVAILABILITY
15.1. This offer is subject to revocation if not accepted by the recipient within a period of five (5) calendar days from the date of receipt, or as long as the specified opportunity remains available.

16.    NON-TRANSFERABILITY
16.1. The Member acknowledges and agrees that this Agreement is not transferable without the express written consent of the Company. The Company reserves the right to withhold its consent to any proposed transfer, assignment, or delegation; however, such consent shall not be unreasonably withheld by the Company.
