Please carefully review these terms before joining our Reciprocal Referral Community:
 

ACCEPTANCE OF MEMBERSHIP AGREEMENT
BY SUBSCRIBING WITH HOMES & ZONES, OR BY ACCESSING OUR BUSINESS HUB PLATFORM, PREMIUM SERVICES, OR OTHER INFORMATION PROVIDED AS PART OF THE HOMES & ZONES SERVICES (COLLECTIVELY, THE “SERVICES”), YOU BECOME A “MEMBER” AND AGREE THAT YOU HAVE ENTERED INTO A LEGALLY BINDING AGREEMENT WITH HOMES & ZONES, 825 CHURCH STREET, SUITE 1901, TORONTO, ON, M4W 3Z4 (“WE,” “US,” “OUR,” AND “HOMES & ZONES”), THE TERMS OF WHICH CONSIST OF THIS USER AGREEMENT, THE CODE OF CONDUCT AND OUR PRIVACY POLICY , BOTH OF WHICH ARE HEREBY INCORPORATED BY REFERENCE (COLLECTIVELY REFERRED TO AS THE “AGREEMENT” OR “TERMS OF SERVICE”).

1.    DEFINITIONS 

• Location/Community: Available Communities in the Homes & Zones referral platform.

• Referrals/Leads: New client Referrals made to the Member.

• Business Hub: Online platform for managing your business relationship and accessing referrals and resources.

2.    HOMES & ZONES COMMUNITY
2.1 The Member is granted access to a minimum of one Homes & Zones community for its business category.

3.    REFERRAL SOURCES & ADVERTISING
3.1. The Member receives direct referrals from the Homes & Zones community the Member subscribes to. The Company may also provide advertising services at no extra cost, strategically promoting the Member's message within its Homes & Zones Community.

4.    COST PER REFERRAL
4.1. There is no cost per referral, nor can the company guarantee a minimum number of leads or referrals, which are provided on a best efforts basis.

5.    RECIPROCAL RELATIONSHIP & LIMITATION ON SOLICITATION
5.1. The Member can offer products/services to Homes & Zones Community members, provided it aligns with the agreement's terms.

6.    BUSINESS HUB ACCESS
6.1. Access Provision: The Company shall grant the Member access to the Business Hub located at https://www.homesandzones.com/business-hub

7.    PARTICIPATION IN OMNIBUS SURVEYS
7.1. The Member agrees to participate in the Company's omnibus surveys and single-survey questions from time to time in the manner they are presented. These surveys are designed to provide members of the Homes & Zones Community with leads and potential business opportunities.

8.    USES OF YOUR INFORMATION
8.1. We can use information that we collect about you in the following ways, unless you opt out by contacting admin@homesandzones.com:
  (i) To promote products and services (from us, members of the Homes & Zones Community or Third Party Providers) that you may be interested in.
  (ii) To share with our members, subsidiaries and affiliates for the purpose of referring you to them or promoting products and services that you may be interested in. Our subsidiaries and affiliates can advise us of the products or services they provide to you.
  (iii) To consolidate the information that we have about you with any information that our subsidiaries and affiliates may have about you, so that we can effectively manage our relationship with you.

If you receive commercial email, phone calls or text messages from us, you may opt-out of these by contacting us at admin@homesandzones.com. Please note that if you seek to withdraw consent to processing of information that we need to provide our Services to you, we may be unable to provide those Services.

9. CONSENT TO COMMUNICATIONS

9.1. The Member hereby consents to the communications consent policy located at https://www.homesandzones.com/legal. By agreeing to this contract, the Member acknowledges and agrees to receive communications as outlined in the policy, which may include commercial emails, phone calls, ring-less voicemail messages, Ai agents, and text messages from Homes & Zones and its affiliates. The Member may opt-out of these communications by contacting us at admin@homesandzones.com, understanding that opting out of certain communications may affect the provision of services.

10.     FAIR AND PROFESSIONAL TREATMENT OF REFERRALS
10.1.  Member agrees to treat all referrals received through the Homes & Zones Community in a fair, forthright, professional, and workmanlike manner at all times. This commitment extends to ensuring a high standard of service and ethical conduct in interactions with other Members of the Community.

11.    COMPLIANCE WITH CODE OF CONDUCT
11.1. As a Member of the Homes & Zones Reciprocal Referral Community, you agree to adhere to the community's Code of Conduct.

12.    TERM AND TERMINATION
12.1. This Agreement commences on the Effective Date and shall remain in force until terminated by either party with written notice. Termination shall be effective upon notice.

13.    CONFIDENTIALITY
13.1. Both parties agree to maintain confidentiality regarding any proprietary or non-public information exchanged during this Agreement. The Member acknowledges the Company's technology and proprietary data as trade secrets, agreeing not to disclose or use them without written consent. Similarly, the Company agrees to protect the Member's sensitive information.

14.    LIMITATION OF LIABILITY
14.1. Neither party shall be liable for indirect, incidental, or consequential damages.

15.    GRADUAL PROGRESS DISCLAIMER
15.1. Members should expect gradual progress in building referral pipelines.

16.    GOVERNING LAW AND DISPUTE RESOLUTION
16.1. This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario without regard to its conflict of laws principles.

17.2. Any dispute arising out of or in connection with this Agreement shall be resolved through good-faith negotiations between the parties. If the parties are unable to reach a resolution within 14 days, either party may initiate mediation or arbitration as the exclusive means of resolving the dispute.

18.    NON-DISPARAGEMENT
18.1. Both parties agree not to make disparaging remarks about each other, their products, services, or affiliates, in any form of communication, with exceptions for legal requirements.

19.    REVOCATION & AVAILABILITY
19.1. This offer is subject to revocation if not accepted by the recipient within a period of five (5) calendar days from the date of receipt, or as long as the specified Communities remain available.

20.    NON-TRANSFERABILITY
20.1. The Member acknowledges and agrees that this Agreement is not transferable without the express written consent of the Company. The Company reserves the right to withhold its consent to any proposed transfer, assignment, or delegation; however, such consent shall not be unreasonably withheld by the Company.
