Homes & Zones $2,000 Digital Adoption Grant Program Terms

Please carefully review these terms before applying for the $2,000 Digital Adoption Micro Grant:
 

ACCEPTANCE OF APPLICATION
BY APPLYING FOR THE HOMES & ZONES $2,000 DIGITAL ADOPTION GRANT YOU BECOME A “GRANT APPLICANT" AND AGREE THAT YOU HAVE ENTERED INTO A LEGALLY BINDING AGREEMENT WITH HOMES & ZONES, 2300 YONGE ST. SUITE 1600, TORONTO, ON M4P 1E4 (“WE,” “US,” “OUR,” AND “HOMES & ZONES”), THE TERMS OF WHICH CONSIST OF THIS USER AGREEMENT, THE CODE OF CONDUCT AND OUR PRIVACY POLICY , BOTH OF WHICH ARE HEREBY INCORPORATED BY REFERENCE (COLLECTIVELY REFERRED TO AS THE “AGREEMENT” OR “TERMS OF SERVICE”).

 

AGREEMENT BETWEEN HOMES & ZONES AND [GRANT APPLICANT] FOR PARTICIPATION IN THE $2,000 DIGITAL ADOPTION GRANT PROGRAM
 

 

WHEREAS, Homes & Zones has established a $2,000 Digital Adoption Grant Program (the "Program") designed to assist businesses within the Homes & Zones community in adopting and improving digital marketing strategies;
 

WHEREAS, the Grant Applicant wishes to participate in the Program to enhance their digital marketing efforts and has selected a Digital Marketing Company, which is an authorized vendor with Homes & Zones (the "Digital Marketing Company"), as their service provider under the Program;


WHEREAS, the parties wish to outline their respective obligations and responsibilities under the Program;
 

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth herein, the parties hereto agree as follows:


1. Participation in the Program

1.1. Grant Application: The Grant Applicant agrees to collaborate with the Digital Marketing Company to prepare and submit an application for the $2,000 Digital Adoption Grant. This includes, but is not limited to, a proposal/quote for digital marketing services, and a letter of recommendation from the Digital Marketing Company.
 

1.2. Grant Approval and Co-Pay: Upon approval of the Grant, the $2,000 will be applied as an upfront payment to the Digital Marketing Company for the services outlined in their proposal/quote provided to the Grant Applicant. The Grant Applicant is responsible for a 25% co-pay, meaning that for every dollar spent on improving their digital presence, 75% will be covered by the grant, up to the maximum grant amount of $2,000.
 

2. Obligations of the Grant Applicant

2.1. Cooperation: The Grant Applicant agrees to provide all necessary information and access to the Digital Marketing Company to facilitate the preparation of the website and SEO audit, as well as any other materials required for the Grant application.
 

2.2. Service Term: The Grant Applicant agrees to engage the Digital Marketing Company for a minimum term of one (1) year to ensure that the digital marketing efforts have sufficient time to produce effective results.


2.3. Additional Services: The Grant Applicant acknowledges that any services beyond those covered by the $2,000 Grant, as detailed in the proposal/quote, will be billed separately by the Digital Marketing Company at its standard or negotiated rates. The Grant Applicant agrees to pay for any additional services as agreed.


2.4. Fee Integrity: The grant applicant understands that the digital marketing company is required to maintain fee integrity by charging its usual or market rates for all services provided under the agreement, ensuring that costs are not inflated due to the grant.

3. How You Can Use Your Grant
3.1 Eligibility Criteria for the Homes & Zones Digital Adoption Program:


Applicants must meet the following criteria:

  • Be a for-profit business.

  • The company must be legally registered or incorporated.

  • Have an operational website solely dedicated to the business’s purpose.

  • Have generated at least $100,000 in revenue in the most recent tax year.

  • Must not have previously received a digital adoption grant.

  • Have primary operations that are not depend on internet-based platforms.
     

Ineligible Companies:

The following types of organizations are not eligible to apply:

  • Non-profit organizations or charities

  • Corporate chains

  • Franchises

  • Brokerages (Mortgage, insurance and real estate industries)
     

Grant funds may be used for the following digital marketing services:

  • Implementing a search engine optimization (SEO) strategy.

  • Enhancing social media engagement.

  • Improving a website if done in combined with SEO or social media efforts..

  • Completing a website audit and SEO audit of your business’s online presence.
     

3.2. The grant proceeds are paid directly to the vendor and applied as an upfront payment toward your agreement. The $2,000 grant will be allocated to your monthly payments, less the 25% co-pay, gradually reducing the amount of the grant until it is fully utilized.


4. Homes & Zones Obligations

4.1. Referral of Digital Marketing Company: Homes & Zones will refer the Grant Applicant to the Digital Marketing Company as part of the Program and ensure that the Grant Applicant is provided with all necessary support to complete the Grant application.
 

4.2. Grant Confirmation: Homes & Zones will oversee the administration of the $2,000 Grant, ensuring that it is properly and fairly applied to the Grant Applicant's agreement with the Digital Marketing Company.


4.3. Program Support: Homes & Zones will be available to provide guidance and answer any questions the Grant Applicant may have regarding the Program.


4.4. Quote Requirements: The Digital Marketing Company's quote provided to the Grant Applicant must include a detailed schedule of services to be rendered, specifying the cost of those services on a month-to-month basis for a duration of twelve (12) months. The $2,000 Grant will be applied towards each month's services as outlined in the quote, in the order they are provided, until the full amount of the Grant is fully allocated.


5. Termination

5.1. Termination by Homes & Zones: Homes & Zones may terminate this Agreement with thirty (30) days' written notice if the Grant Applicant fails to cooperate with the Digital Marketing Company or otherwise breaches any material terms of this Agreement.
 

5.2. Termination by Grant Applicant: The Grant Applicant may terminate this Agreement with thirty (30) days' written notice, provided that they fulfill any outstanding obligations to the Digital Marketing Company as set forth in the service contract.


5.3. Effect of Termination: In the event of termination, the Grant Applicant shall be responsible for any costs incurred by the Digital Marketing Company up to the effective date of termination, including but not limited to services already rendered under the proposal/quote.


6. Confidentiality and Non-Disparagement

6.1. Confidential Information: The parties acknowledge that during the course of this Agreement, they may have access to certain confidential information of the other party. The parties agree to maintain the confidentiality of such information and not to disclose it to any third party without the prior written consent of the other party, except as required by law.
 

6.2. Non-Disparagement: The parties agree that they will not make any false, disparaging, or derogatory statements in public or private regarding the other party or its employees, officers, directors, agents, or businesses.


7. Miscellaneous

7.1. Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, understandings, and communications, whether written or oral, relating to the subject matter hereof.
 

7.2. Amendments: Any amendments to this Agreement must be in writing and signed by both parties.


7.3. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law principles.


7.4. Dispute Resolution: Any disputes arising under this Agreement shall be resolved through mediation. If mediation fails, the dispute shall be resolved by binding arbitration in accordance with the rules of the ADR Institute of Ontario.


7.5. Notices: Any notices required or permitted under this Agreement shall be in writing and shall be deemed delivered when sent by certified mail, return receipt requested, or by a recognized overnight delivery service, to the address of the respective party set forth above.


8. Revocation & Availability
8.1. This offer is subject to revocation if not accepted by the recipient within a period of five (5) calendar days from the date of receipt, or as long as the program remains available.

9. Non-Transferability
9.1. The Member acknowledges and agrees that this Agreement is not transferable without the express written consent of Homes & Zones.
